QUESTION:

A franchisor regularly delivers goods to its franchise stores on credit. To protect itself against non-payment, or a store’s bankruptcy, the franchisor requires a large cash deposit (held as security). Is the standard franchise model permissible in principle? Are there conditions needed to keep it compliant?

ANSWER:

It is permissible for the franchisor to request a collateral (Rahn) such as the title deeds of the property or some money. In the event of the franchisee not making payment, the collateral can be used to receive the outstanding payment.

أما ركن عقد الرهن فهو الإيجاب والقبول وهو أن يقول الراهن: رهنتك هذا الشيء بما لك علي من الدين أو يقول: هذا الشيء رهن بدينك، وما يجري هذا المجرى، ويقول المرتهن: ارتهنت أو قبلت أو رضيت، وما يجري مجراه، فأما لفظ الرهن فليس بشرط، حتى لو اشترى شيئا بدراهم ودفع إلى البائع ثوبا وقال له: امسك هذا الثوب حتى أعطيك الثمن فالثوب رهن؛؛ لأنه أتى بمعنى العقد، والعبرة في باب العقود للمعاني.
